Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of PrivateClaw (the "Service"), operated by PrivateClaw ("we," "us," or "our"). By creating an account, submitting a payment, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
These Terms apply to all users of the Service, including free-tier users, paid subscribers, and anyone accessing the Service in a trial or promotional capacity.
2. Definitions
- "Account" — your PrivateClaw account, created by connecting to the management interface with your SSH public key and completing the signup flow.
- "CVM" (Confidential Virtual Machine) — the dedicated virtual machine provisioned for your Account, running inside an AMD SEV-SNP Trusted Execution Environment on Microsoft Azure.
- "Content" — any data, code, files, prompts, or other material you store, process, or transmit inside your CVM or through the Service.
- "Inference" — requests sent from your CVM to the PrivateClaw inference proxy, which forwards them to the upstream private inference provider (Confidential AI).
- "Service" — the PrivateClaw platform in its entirety, including the orchestrator, inference proxy, web frontend, management TUI, and all associated infrastructure.
- "Subscription" — your recurring billing arrangement with us, as described in Section 4.
- "User" — any individual who holds an Account and uses the Service.
3. Account and Access
Eligibility. You must be at least 18 years of age to create an Account. By using the Service, you represent that you meet this requirement.
Accuracy. You agree to provide accurate information during signup (including your email address and SSH public key). You are responsible for keeping this information current. We may suspend or terminate Accounts based on inaccurate or fraudulent information.
SSH credentials. Access to the management TUI and to your CVM is controlled by your SSH public key. You are solely responsible for securing your corresponding private key. We cannot recover your private key or grant access to your CVM if your key is lost or compromised. You agree not to share your SSH credentials with others.
Account security. You are responsible for all activity occurring under your Account. Notify us immediately at support@privateclaw.dev if you suspect unauthorized access.
4. Subscription and Billing
Tiers. The Service is offered on a tiered basis. Current tiers and pricing are described at privateclaw.dev/pricing. Tier details (including included inference, egress limits, and pricing) may change; we will provide reasonable notice before changes take effect for existing subscribers.
Billing processor. All payments are processed by Stripe, Inc. By subscribing, you agree to Stripe's terms of service. We do not store your full card number. Your Stripe customer ID and subscription state are stored by us; card last four digits and fingerprint are stored by Stripe.
Renewal. Paid subscriptions renew automatically at the end of each billing period (monthly) unless cancelled before the renewal date. Cancellation takes effect at the end of the current billing period; you retain access until then.
Price changes. We reserve the right to change subscription prices. We will provide at least 30 days' notice to existing subscribers before a price increase takes effect. Continued use after the notice period constitutes acceptance of the new price.
Taxes. Prices are exclusive of applicable taxes. You are responsible for all taxes arising from your use of the Service.
Egress limits. Egress (outbound internet traffic from your CVM) is hard-capped on every tier. When you reach the cap, outbound internet from your CVM is blocked until your billing period resets or you upgrade to a higher tier. You are never charged for egress overage on any tier. Inference usage beyond your monthly included inference is billed at per-token rates on the Pro tier and appears on your next invoice.
5. Free Tier and Paid Tier Differences
Free tier. The Free tier includes $3/month of included inference and 5 GB/month of egress. When the egress cap is reached, outbound internet from your CVM is hard-blocked until your billing period resets or you upgrade. When your included inference is exhausted, inference requests are paused. You are never charged for egress overage. SSH access and the management TUI remain available as long as the Service is operating normally, subject to the best-effort availability described below.
Pro tier. The Pro tier is $69/month and includes $20/month of included inference and 50 GB/month of egress. Egress is hard-capped on the Pro tier as well: when you hit 50 GB, outbound internet is blocked until your billing period resets or you upgrade. You are never charged for egress overage. Inference beyond the included allowance is billed at per-token rates.
Enterprise tier. Enterprise plans are custom arrangements. Contact support@privateclaw.dev for details.
No uptime guarantee for Free tier. We do not provide any uptime commitment for Free-tier users. Pro users are served on a best-effort basis; we target high availability but do not offer a contractual SLA unless separately agreed in writing.
6. Acceptable Use
Your CVM is dedicated to you and you alone. You are responsible for all activity that occurs inside it. You agree not to use the Service to:
- Distribute illegal content. This includes, but is not limited to: child sexual abuse material (CSAM), material that constitutes a criminal offense in your jurisdiction, malware or exploit payloads, stolen credentials, or data obtained through unauthorized access.
- Operate command-and-control infrastructure. You may not use your CVM as a C2 server for malware, botnets, or other unauthorized remote access tools.
- Send unsolicited bulk email (spam). Outbound SMTP (port 25) is blocked by our infrastructure. This prohibition also extends to any SMTP-over-TLS or relay path you may configure, and to any other form of unsolicited bulk communication.
- Operate anonymization relay infrastructure. You may not run Tor exit or relay nodes, VPN exit nodes intended for public use, or similar anonymization relays from your CVM.
- Mine cryptocurrency. You may not use the CVM's compute resources for cryptocurrency mining, proof-of-work computation, or similar resource-intensive tasks unrelated to legitimate AI workloads.
- Conduct unauthorized network scanning or attacks. You may not perform port sweeps, vulnerability scanning, DDoS attacks, or any other offensive network activity from your CVM against external hosts.
- Violate export control or sanctions laws. You may not use the Service to host, process, or transmit content or software in violation of applicable export control regulations or economic sanctions regimes.
- Operate a public proxy. You may not use your CVM as a general-purpose proxy or VPN endpoint for other users or the public internet.
- Circumvent rate limits or abuse protections. You may not attempt to evade or defeat any rate limiting, abuse detection, or security controls implemented by the Service.
- Reverse engineer the platform. You may not attempt to reverse engineer, decompile, or extract source code from any component of the PrivateClaw platform, orchestrator, or inference proxy.
We reserve the right to investigate suspected violations and to terminate Accounts where violations are confirmed or credibly suspected. We may also report violations to law enforcement where required by law.
7. Intellectual Property
Your Content. You retain full ownership of all Content you create, store, or process inside your CVM. We do not claim any intellectual property rights over your Content.
Limited license for processing. By using the Service, you grant us a limited, non-exclusive, royalty-free license to process your Content solely for the purpose of operating the Service for you — specifically, routing inference requests through the inference proxy to the upstream provider and performing billing metering on token counts. This license does not extend to training AI models on your Content, selling your Content, or any other purpose beyond operating the Service for you.
Our platform. The PrivateClaw platform, orchestrator software, CLI tooling, branding, trademarks, and all related intellectual property are owned by PrivateClaw. Nothing in these Terms transfers any ownership rights in the platform to you. You receive a limited, non-exclusive, non-transferable license to use the Service during the term of your Subscription.
8. Termination
Termination by you. You may cancel your Subscription at any time through the management TUI or by contacting support. Upon cancellation, your CVM and all associated data will be destroyed at the end of your current billing period (or immediately if you request immediate termination).
Immediate termination by us. We may terminate your Account and destroy your CVM immediately, without advance notice, for any of the following reasons:
- Non-payment. If a payment fails and is not resolved within the grace period, we will suspend and then terminate the Account.
- Refund or chargeback. If you initiate a chargeback or refund dispute with your card issuer or Stripe, we will treat this as a termination event and immediately delete your Account, CVM, and all associated data. Accounts terminated by chargeback are not eligible for reinstatement without independent resolution.
- Acceptable use violation. Confirmed or credibly suspected violation of Section 6.
- Court order or legal requirement. We must comply with valid court orders, law enforcement requests, or other legal obligations.
- Suspected fraud. If we have reasonable grounds to believe an Account was created with fraudulent intent or is being used to commit fraud.
Effect of termination. Upon termination (for any reason), your CVM will be destroyed and all data inside it will be deleted. Deletion is subject to our disaster recovery retention window, which is typically 7 to 30 days, after which backups and snapshots containing your data are also destroyed. We are not responsible for any loss of data resulting from termination.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM SECURITY VULNERABILITIES. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFERENCE OUTPUT. NO UPTIME GUARANTEE IS MADE FOR FREE-TIER ACCOUNTS. PRO AND ENTERPRISE TIERS ARE OPERATED ON A BEST-EFFORT BASIS.
THE DISCLAIMERS ABOVE APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRIVATECLAW, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Indemnification
You agree to indemnify, defend, and hold harmless PrivateClaw and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) any Content you store or process inside your CVM; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in that jurisdiction.
13. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email to the address associated with your Account, or by displaying a notice in the management TUI (the in-terminal banner). The updated Terms will be effective upon the date stated in the notice. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
If you do not agree with updated Terms, you may cancel your Subscription before the effective date.
